About the role
RWE Supply & Trading's (RWEST) Legal & Compliance Team is seeking a mid to senior level Legal Counsel to support its Energy Transition Investments (ETI) business, with a focus on M&A, joint ventures and corporate law matters in the context of Private Equity / Venture Capital type investments and RWE group strategic equity investments.
You will report to the Head of Legal ETI who is also based in London. You will work with a large degree of autonomy alongside the Head of Legal, together with other relevant in house experts and outside counsel, to deliver practical, commercial and cost effective specialised legal advice to a dedicated team of experienced senior commercial professionals based in London and New York.
This is a unique career opportunity for an experienced legal professional to shape RWEST's ETI business by enabling origination and managing a diverse portfolio of asset investments globally. ETI's focus is on achieving attractive returns on the capital deployed whilst ensuring new investments are consistent with RWE's strategic goals and supportive of the global energy transition.
The role closely collaborates with other support functions in the UK, the USA and Germany as well as other RWE group companies to ensure high quality and on time practical advice in a fast moving and highly competitive environment. The role will also involve advising the RWEST Board of Directors and supporting other trading desks and other RWE group companies with potential investment opportunities, primarily across Europe and the USA.
- Take ownership of all legal advice to the ETI business team in relation to ETI's global portfolio of energy transition investments and all future origination activities, while inputting on commercial and strategic matters.
- Anticipate, manage and provide solutions to potential risks and opportunities; secure legal integrity by initiating, managing and monitoring compliance with the law and regulations as well as internal policies and principles; and be responsible for board office, corporate and partnering law matters.
- Undertake a wide variety of tasks focused on M&A, joint venture, corporate and investment portfolio management, including drafting and negotiating contracts, undertaking legal due diligence, advising on discrete legal/regulatory issues, providing legal input into commercial structuring and negotiation, and addressing corporate governance requirements.
- Collaborate with the ETI commercial team, the global RWEST and RWE group legal and compliance function, and other in house functional experts (e.g. tax, accounting, controlling, finance, IR) in a fully integrated, cross functional team to deliver a streamlined service. Engage and manage outside counsel.
- Demonstrate ability to work professionally and accurately under pressure, prioritise tasks across multiple dynamic transactions, and be willing to travel internationally when required.
Job requirements and experience
- University degree, and legal qualification as solicitor in England & Wales (or a similar common law jurisdiction); exceptional communication skills (fluent in English).
- At least five years of relevant working experience (post qualification), either as outside counsel or working in house within a relevant organisation.
- Experienced commercial solicitor, focused on corporate, M&A and joint venturing law and preferably with VC/PE style investment structures. Project finance and mining experience helpful but not a requirement.
- Strong organisational and analytical skills; hands on and highly motivated to deliver results whilst balancing risk management. Able to adapt to varying styles and deliver practical advice on a time sensitive basis.
- Self confident team player; used to advising stakeholders at eye to eye level, not shy away from conflict, and willing to defend your position when challenged.
- Open minded fast learner; ability to think 'outside the box' and collaborate successfully with cross functional, global teams, balancing autonomy with global collaboration.
- Proven collaborative and relationship management skills; ability to lead by example in a high performing team.
- Capability to prioritise tasks across multiple dynamic transactions, and a willingness to travel internationally.
