Senior Governance Officer - Internal Corporate Governance

• Provide end to end company secretarial and internal corporate governance support to Subsidiary Boards and committees
• Manage board and committee meeting administration, including agenda planning and preparation of minutes
• Oversee statutory records, entity registers, and statutory filings
• Develop and implement board and committee Terms of Reference
• Oversee director appointments and cessations
• Deliver board and committee effectiveness reviews
• Manage corporate governance compliance programme
• Identify governance gaps and elevate non compliance issues
• Partner with Operational Support teams for governance delivery

• ICSA / CGI qualified or equivalent legal or corporate governance qualification
• Significant experience (typically 5+ years) in company secretarial or corporate governance roles within financial services or regulated environments
• Strong technical knowledge of corporate governance, company secretarial practice and subsidiary board operations
• Sound professional judgement, with confidence to elevate issues appropriately
• Strong written and verbal communication skills, including minute writing expertise
• High attention to detail and commitment to governance quality

Demonstrates expertise in corporate governance and company secretarial practices, with a strong focus on compliance, board administration, and governance quality. Proven ability to manage statutory records and deliver effective governance support in regulated environments.
