Job Description

Senior Associate - Company Secretarial / Governance within PwC's tax services practice.

At PwC, our tax services team focuses on providing advice and guidance to clients on tax planning, compliance, and strategy, helping businesses navigate complex tax regulations and optimise their tax positions.

What you will do:
  • Arrange, attend, and minute all directors' and shareholders' meetings; prepare minutes, resolutions and associated documentation for corporate transactions.
  • Support restructuring projects for clients and internal PwC.
  • Deliver Governance services and explore the use of AI to enhance compliance services.
  • Maintain statutory registers and corporate documents on Diligent software, ensuring compliance with law and internal policies.
  • Prepare Companies Registration Office forms, arrange execution by clients and manage filing at the CO.
  • Liaise with the Registrar of Companies on routine corporate administrative and regulatory matters.
  • Provide Share Scheme administration, preparing documentation and correspondence.
  • Maintain client relationships and liaise on company law issues.
  • Manage the billing process.
  • Obtain AML/KYC documentation from clients and intermediaries; maintain register of beneficial ownerships.
  • Collaborate with Partner, Director and Senior Manager on service delivery and business development projects, and attend potential client secondments.
  • Coordinate with tax and audit colleagues on company law matters.
Who we are looking for:
  • Education: primary degree.
  • Chartered Governance Institute qualified.
  • 3+ years' experience in company secretarial, restructuring or governance roles.
  • Experience with Diligent software and bespoke PwC applications.
