Overview

We are seeking a Legal Officer to join our Risk & Compliance function. Reporting to the Chief Risk Officer, this role supports the legal, commercial, corporate governance, and data protection needs of a regulated Irish insurance intermediary and technology provider.

The successful candidate will manage all commercial contracts, assist with company secretarial and corporate governance functions, and play a key role in regulatory and data protection compliance.

The role is ideal for a pragmatic, business minded legal advisor looking to contribute across both regulatory and commercial fronts in a fast growing Insurtech environment.

What You'll Be Doing 1. Commercial Contracting
  • Draft, review, and negotiate B2B and other third party contracts for corporate customers purchasing embedded software and insurance brokerage services.
  • Support product and commercial teams in structuring compliant agreements with distribution partners and vendors.
2. Insurer and Distribution Agreements
  • Partner with the Expansion and Commercial teams to develop and review Terms of Business Agreements (TOBAs), distribution agreements, and collaboration terms with insurers and capacity providers.
  • Ensure agreements comply with regulatory requirements on insurance distribution, outsourcing, and delegated authority.
  • Support due diligence, onboarding, and negotiation processes with insurers and other regulated counterparties.
  • Maintain oversight of legal documentation supporting insurance product launches, partnerships, and market entry initiatives.
3. Corporate Governance
  • Assist with board and committee governance, including preparing agendas, minutes, resolutions, and maintaining statutory registers.
  • Support corporate projects such as shareholder updates, subsidiary management, and corporate policy documentation.
  • Support the establishment of new legal entities.
3. Data Protection & Privacy
  • Assist the Data Protection Officer (DPO) and Compliance function with data protection compliance across business units.
  • Draft and review data processing agreements, data sharing agreements, and cross border transfer clauses.
  • Provide practical guidance to teams on GDPR compliance in product design, vendor management, and customer engagements.
4. Regulatory & Compliance Support
  • Support adherence to regulatory requirements, particularly in relation to insurance distribution, outsourcing, and conduct of business.
  • Support the alignment of legal and compliance frameworks for both the insurance and software aspects of the business.
  • Support any new licensing applications.
5. Cross Functional Collaboration
  • Collaborate with sales, expansion, product, and technology teams to deliver legally sound and commercially viable solutions.
  • Liaise with external counsel and advisors where necessary.
  • Support internal training and awareness on contract management, governance, and data protection topics.
What We're Looking For Qualifications
  • Qualified solicitor (Ireland, UK or common law jurisdiction) with 3-6 years' PQE.
  • Strong background in commercial contracts and corporate governance.
  • Solid understanding of data protection (GDPR) and Irish company law.
  • Experience supporting compliance in financial services, insurance, or technology sectors.
  • Excellent drafting, analytical, and communication skills.
  • Ability to manage multiple priorities and work effectively with cross functional teams.
Experience
  • Experience within a regulated entity (insurance intermediary, fintech, or insurtech).
  • Familiarity with CBI regulation and outsourcing requirements.
  • Previous exposure to board governance or company secretarial responsibilities.
  • Knowledge of privacy by design and technology contracting principles.
