Job Description

An opportunity to work in a global legal team within a FTSE 100 technology company. The role will involve working closely with Sage's Corporate Development and Finance teams, advising on M&A, strategic finance, intragroup projects, and other corporate legal matters.

The successful candidate will support complex, high-profile projects with significant commercial impact.

This is a hybrid role, with 3 days in our London Bridge office and 2 days remote.

Key Responsibilities

• Provide end-to-end legal advice to the Corporate Development team on M&A transactions across multiple jurisdictions.
• Support the Finance team on strategic finance projects, including debt facilities, share buybacks, and bond issuances.
• Assist with structuring and executing complex intragroup transactions such as restructurings, financing arrangements, dividends, asset transfers, and liquidations.
• Advise on corporate governance matters, including UK Listing Rules, Companies Act, Corporate Governance Code, MAR, and directors' duties.

Requirements

• A qualified lawyer with at least 3 years of qualification experience.
• Applicants from both private practice and in-house roles are welcome.
• Broad cross-border M&A legal experience across various transaction structures.
• Experience drafting and reviewing M&A transaction documents, such as share and asset purchase agreements.
• Ability to lead and coordinate key elements of the M&A process, including due diligence, review of transaction documents, and W&I insurance.
• Understanding of commercial, structuring, and execution considerations, including consideration structures and recourse mechanisms.
• Knowledge of core corporate legal principles, including the UK Companies Act, Listing Rules, Corporate Governance Code, MAR, and directors' duties.
