Job Description

Company Secretarial/Governance Specialist

Location: London (3 days onsite per week)
Day Rate: Up to £700 per day (Inside IR35)
Contract: Initial 12 months (likely extension)
Client: Large Custodian Bank

We're partnering with a leading global custodian bank to hire an experienced Company Secretarial/Governance Specialist to support their EMEA Company Secretariat function. This is a fantastic opportunity to join a highly reputable financial institution and work closely with senior executives and independent non-executive directors across regulated entities.

The Role

Reporting to the Head of Company Secretarial, EMEA, you will provide core governance and company secretarial services to executive management committees (EMCs) and regulated entities. The successful candidate will demonstrate strong governance expertise within the financial services sector and deliver all core company secretarial functions to the highest standard.

You'll play a key role in the development and rollout of EMEA governance projects and enhancements, with regular interaction at executive and board level.

Key Responsibilities

  • Act as the primary governance contact for EMCs and boards/board committees of regulated entities

  • Support Chairs in the effective and efficient running of EMC, board, and committee meetings

  • Manage annual EMC and board/committee performance reviews

  • Build and maintain relationships with directors, senior stakeholders, and external parties

  • Prepare and deliver accurate minutes and action items to tight deadlines

  • Contribute to governance project work and process enhancements

  • Review and strengthen departmental procedures and governance frameworks

Skills & Experience

  • Qualified Governance Professional/Company Secretary preferred

  • Strong knowledge of UK Company Law

  • Proven ability to make clear presentations to Boards and Committees

  • Excellent minute-taking and organisational skills

  • Previous experience in a Governance/Company Secretarial function within financial services

  • Demonstrated ability to support boards and senior executives, including non-executive directors

  • Experience driving governance best practice and delivering change initiatives

  • Familiarity with Diligent Boards & Entries advantageous
