Job Description
  • Provide legal counsel on capital markets transactions, including public and private securities offerings.
  • Draft and negotiate transaction documents, such as underwriting agreements, purchase agreements, and registration statements.
  • Advise clients on regulatory compliance and disclosure requirements.
  • Collaborate with cross-functional teams to manage complex legal matters effectively.
  • Conduct due diligence and assess risks associated with financial transactions.
  • Stay updated on developments in securities law and advise clients accordingly.
  • Build and maintain strong client relationships through excellent communication and service delivery.
  • Mentor junior team members and contribute to knowledge-sharing within the department.
The Successful Applicant

A successful candidate should have:

  • A Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility to waive in.
  • Strong knowledge of securities laws and regulations, including the Securities Act and Exchange Act.
  • Exceptional drafting and negotiation skills.
  • The ability to manage multiple priorities in a fast-paced environment.
  • A proven track record of working on capital markets transactions.
