ABOUT THE ROLE

Our Corporate, Banking & Finance Department are looking for an experienced Solicitor or Associate level lawyer to join them. This is a growth hire to support the senior members of the team, so we are looking for someone who has experience of dealing with corporate and commercial matters (under supervision).

Working closely with four Partners and a Solicitor level lawyer, you would have a varied and intellectually stimulating workload. The corporate/commercial side of the department, acts on a wide range of client instructions, including:

  • Corporate, finance and housing regulation
  • Joint venture arrangements, assisting our real estate colleagues with large scale housing development and finance projects
  • Intellectual property, IT and systems contracts
  • In/outsourcing
  • Terms of business, including for regulated entities
  • Management incentives and exits
  • General commercial contracts, including consumer facing agreements, particularly in the SME space with a particular focus on IT, royalties, hospitality.

Day to day tasks will include:

  • Providing corporate structuring advice
  • Providing regulatory compliance and governance advice
  • Undertaking due diligence work, including for M&A transaction
  • Drafting complex transactional documentation
  • Working as part of a team and with other advisers on contractual arrangements, corporate matters and in some cases, contentious transactions
  • Negotiating transactions with other advisors: including regulators, accountants, auditors and other stakeholders.

ABOUT YOU

You will have experience of acting on both corporate and commercial matters (ideally with experience of housing/real estate work) and want to work in a corporate/commercial team that very much supports our real estate colleagues. Experience of managing your own matters and dealing with clients (with support from senior colleagues), will be required, as the team are looking for someone to support them on complex workstreams.

Offer of employment

If you are successful and accept our offer of employment, we will submit your details to our background screening company (Giant), who will conduct a series of background checks.
