The post holder will assist General Counsel invarious aspects of the company's day to day operations with a primary focus onsupporting investment team.

Key Accountabilities:

1. Support General Counsel in terms of company's Investment related legal matters

  • Workingalongside the investment team on potential investment opportunities, throughassessing and analyzing issues regarding deal structuring, due diligence, dealrelated regulatory analysis and preparing transaction documents.
  • Projectmanaging transactions, including management of external legal advisors toensure company's commercial views are correctly reflected in documentation e.g. SPA,JVA, AMA etc.
  • Participatingin meetings (when requested) related to potential investments, providing legaladvice in terms of identifying any potential legal risks and constructingmitigating solutions to the investment team consequently.

2. Support General Counsel in terms of company'stopside SPV management related legal matter

  • Workwith/without external legal advisors regarding overall SPV management relatedlegal matters.
  • AssistGT's compliance team with KYC or other compliance related exercises.

3. Support General Counsel in terms of company'sday-to-day operations

  • Reviewingand negotiating third-party service contracts and other documentation relatingto the Company's daily operations

4. Others

  • Maintaininglegal know-how relevant to the legal and regulatory issues associated with themanagement structure of the Company and corporate governance and keepingup-to-date on legal developments affecting on all aspects of the Company'sbusiness
  • Keepingabreast of forthcoming developments in the law and legislation potentiallyaffecting the company's investments and/or projects
  • Carryingout legal research and produce legal memos/reports. Conduct legal training for company teams.
Requirements
  • 7+ years PostQualification Working Experience gained either from a similar environment or alaw firm in the UK and/or European market
  • Ability to projectmanage transactions independently
  • Good legal researchskills and sound legal drafting capabilities
  • Ability to adapt andmulti-task
  • Experience withcomputer software such as word, excel and power-point
