Introduction to the role

Eku Energy is looking for an enthusiastic and highly motivatedSenior Counsel -Corporate & ComplianceCounselto support our rapidly growing global energy storage business.

This newly created role will be based inLondon, reporting to ourChief Legal Officer. It will involve working with colleagues across the businessandwithour co-investor representatives.Our newSenior Counsel -Corporate & ComplianceCounselis a generalist legal and compliance role,will havehavingresponsibility for our group-widelegalentity management;andcorporategovernance,;ourcorporatecontracting;anddevelopmentand strengtheningof our core compliance initiatives and controls.

We are looking for a positive, collaborative lawyer withapproximately5years' PQE who bringsclear thinking and practical judgementto the role,enthusiastic todrive adoption ofLegal Operations design principles and best practiceswithinourexpandingestablishedLegal, Governance & Complianceteam. The successful candidate will be passionate about contributing to an emerging industry within the clean energy transition and excited by the challenge of providing high-quality legal support in a fast-paced and dynamicinternationalenvironment.

Responsibilities of the role Corporate Governance
  • Ensuring robust compliance withapplicable company law requirements for allEku Energymanagedlegal entities around the world, with support from externallegal andcorporate service providers as necessary, including managingEku Energy groupsubsidiary board meetingsto ensureappropriatevisibilityand oversight for directors and officers to exercise their fiduciary duties
  • Designing and implementing governance processes forany newEku Energy'sjoint venture vehicleson establishmenttocomply withapplicable law,constitutionaldocumentsand co-investor expectations underany negotiatedjoint venture agreements
  • Collaborationacrossall EkuEnergyfunctions to ensure requisitecorporateapprovalsaresoughtand secured ona timelybasis to deliver on our business commitments,working closely withEku EnergyFinanceand Eku Energycountry-levellocalDevelopment and Delivery Teamsbusiness team members
  • Ensuring Eku Energy group companies' statutory books and records aremaintainedand updated ona timelybasis and thataccurate, up to date key company information is accessible in a user-friendlyformatto relevant internal and external stakeholders
  • Collaboration with colleagues within Investment Management, Development & Delivery,Technology, Markets&Trading,Finance and TaxTeamswith regard tosetting up,adjustingandmaintainingan optimumgroup structure
  • Support for Chief Legal Officer with Eku Energy Group parent company board and committee meeting management and record keeping
  • Supporting required reporting on Eku Energy group corporate structure and developments to third party finance providers
Corporate
  • Providing internal legal support to Eku Energy's globalEnablingFunctions (including Finance,HRPeople & Culture,BusinessOfficeManagement,andInformation Technology) with commercial contractingand general legal advice, working with outside counsel andexternal legal process outsourceserviceproviders as appropriate.Identifying,explainingand helping to mitigate legal risks.
  • Developing templates and managing intra-group contracting including(non-project)intragroup servicearrangementsand intragroup funding agreements
  • Managing Eku Energygroup internationaltrademarkapplications and registrations with support from externaltrade markcounsel
Compliance
  • In collaboration with Eku Energy Chief Legal Officer, leading core compliance initiativesand developingand delivering EkuEnergystafftraining modules, withinitialfocus onanti-bribery and corruption, sanctions &watchlistsandprivacy
  • Developing,Maintainingmaintainingand updating Legal function owned Policies & Proceduresand raising awareness ofinternalpolicycompliancecommitments with all EkuEnergystaff
  • Primaryresponsibility forthird partybusiness partnercompliancescreening (KYCscreening) on behalf of Eku Energyandescalatingas necessary.Liaising with our investors and co-investorsrespondtoscreening requestsreceivedfrom third parties in respect of Eku Energymanaged entities,representativesand investors
  • In collaboration withEku EnergyPeople & CultureTeamand Eku Energy Information TechnologyTeams,maintainingEkuEnergycompliance with applicable privacy laws (including contributing to maintenance of Eku Energy groupRecord of Processing Activities (ROPA
Legal Operations
  • Identifyingopportunities forenhancingLegal functionefficiencyand business supportthrough legal operations design principles, bestpracticesand technology.Maintaining andenhancingLegal functionowned workflowsand processes,Sharepointsites,technologytoolsandlegalknow-howmanagement
  • Supporting Eku Energy Legal team with managing relationships with outside counseland providing oversight of external legal budgetdeployment
  • Providinggeneral supportto Eku Energy Chief Legal Officer
  • Experienced lawyer withbackground in company and commercial matters
  • Around 5 years' PQE with experience inreputableprivate practice or in-houselegal team.Interested in developing a generalistin-housepractice
  • Clear thinker, ability to recognise practical impact of written policies,proceduresand guidelines; confident to share ideas for process improvementandtakedrivethrough to implementation
  • Curious and confident to ask questions,remainingopen-minded to alternative requirements,solutionsand outcomes under different international legal systems
  • Enthusiastic attitude and approach to work.Confidentinteractingpositivelywith colleagues,ourinvestorsandinternationallegal advisors.A proven team player with strong interpersonal skills
