Job Description
Senior Corporate Governance Manager

The Senior Corporate Governance Manager will work as part of the Corporate Governance Team led by the Joint Director of Corporate Affairs & Communications and reporting to the Trust Board Secretary. The post holder will play a pivotal role in establishing, developing and maintaining arrangements and procedures for the sound corporate governance of the Trusts including compliance with statutory and regulatory duties to enable effective decision-making at Board and Committee levels.

The role requires excellent organisational skills and includes leadership responsibilities within the team. The post holder will act as a key liaison for the Board of Directors, Council of Governors, and Trust Members, delivering the highest standards of corporate governance, managing membership engagement, and overseeing key governance processes.

Whilst the role is a key part of a larger team, the post holder will be expected to work autonomously and be proactive in keeping up to date with statutory and regulatory requirements.

Main duties of the job
  • Support deputy arrangements for the Board Secretary during periods when additional cover is identified.
  • Attend Trust Board and Committee meetings to present high level information in relation to Trust Board and governance matters to senior audiences.
  • Manage the day to day provision of corporate governance meetings, and support those required to attend and participate in those meetings.
  • Support compliance with internal governance requirements, including discharge of the Group Governance Manual, internal audit requirements, Fit and Proper Persons tests.
  • Support compliance with external governance requirements arising from CQC, NHSE, et al.
  • With the Board Secretary, plan and agree a broad programme of personal development which will prepare the post holder to deputise for the Board Secretary and effectively manage members of the Corporate Governance Team.
Qualifications, Specific Experience & Training
  • Educated to degree level or equivalent level of experience.
  • Post graduate level qualification in corporate governance or as Company Secretary (Chartered Governance Institute) or equivalent level of experience.
  • Experience of management in a Corporate Governance role within the NHS or a complex, heavily regulated environment.
  • Evidence of continuous professional development.
Knowledge and Skills
  • Understanding of legal requirements and corporate governance.
  • Knowledge of national NHS strategy and policy.
