We have an exciting opportunity for a Legal Counsel (Inc. Company Secretary) (Grade 12) to join the Legal and Company Secretarial team on a 12-month fixed-term contract (FTC).
Team Overview:The legal and company secretariat team:
- Provides critical advice on Elexon's industry roles including BSC Code Manager, EMRS, market facilitator
- Supports the delivery of Elexon's strategy and governance for new industry roles
- Manages legal risks and ensures compliance with the BSC, regulations, and applicable laws (including data protection laws)
- Plays a key role in industry change processes, including advising on modifications, CPs, drafting legal texts, and contributing to workgroups
- Supports the Board and Executive Team on corporate governance, including organizing meetings, maintaining records, and advising on best practices
The primary focus is on company secretariat functions, supporting high-quality governance and well-managed Board and Committee meetings. The role also involves legal support to ensure compliance, clear documentation of transactions, and management of legal and commercial risks.
Key Responsibilities:- Company secretarial duties: preparing minutes, organizing meetings, reviewing reports, managing director re-appointments, supporting subsidiaries, and overseeing insurances
- Legal advice on various topics related to Elexon, the BSC, and industry regulations
- Drafting, reviewing, and negotiating contracts and industry documents
- Managing legal risks through policies and procedures
- Supporting data protection compliance and legal obligations
- Staying updated on relevant legislation and regulations
- Qualified legal practitioner with experience in corporate governance, data protection, and commercial contracts
- Strong drafting skills and pragmatic advice-giving ability
- Good judgment, commercial awareness, and experience with technology and outsourcing contracts
- Understanding of energy industry regulation and the Balancing and Settlement Code
- Minute-taking skills and entitlement to practice in England and Wales or equivalent jurisdiction
