Lawyer - Corporate M&A

For our client, a prestigious international law firm, we are looking for a Corporate and M&A Lawyer. The ideal candidate will have proven experience in corporate law, M&A transactions, and general commercial legal matters, with a strong understanding of both Italian and international legal frameworks.

Key Responsibilities:

• Advise clients on all aspects of corporate law, with a focus on mergers and acquisitions, joint ventures, and corporate governance;
• Draft, review, and negotiate a wide range of corporate documents, including SPA, shareholders' agreements, NDAs, and MoUs;
• Conduct legal due diligence and risk assessments for M&A transactions;
• Support clients through the full deal lifecycle, from structuring to post-closing integration;
• Liaise with internal and external stakeholders, including financial advisors, consultants, and regulatory authorities;
• Ensure compliance with all applicable laws and regulations;
• Stay updated on legal developments in corporate and commercial law.

Requirements:

• Qualification to practice law in Italy;
• Minimum 3-5 years of experience in corporate law and M&A, ideally within a law firm or corporate legal department;
• Excellent knowledge of Italian corporate law; knowledge of international legal principles is a plus;
• Strong drafting and negotiation skills;
• Fluent in Italian and English, both written and spoken;
• Excellent analytical, organizational, and communication skills;
• Ability to work independently and as part of a team in a fast-paced environment.
