Job Description
The Independent Non-Executive Director (Technology / Transformation) brings independent expertise in technology, data and organisational transformation to BrisDoc's Board, supporting effective governance, assurance and long-term organisational sustainability.

The role contributes to Board oversight, challenge and decision-making in relation to digital resilience, information governance and the governance of transformation and change. The role is undertaken in accordance with the Company's Articles, Board Terms of Reference and Director's Service Agreement.

The role of Independent Non-Executive Director (Technology / Transformation) follows BrisDoc's established governance framework and mirrors the commitments expected of all Non-Executive Directors. It is undertaken alongside professional commitments and is designed to be achievable within a predictable time requirement.

Contractual basis:This Non-Executive appointment is governed by the Director's Service Agreement. Remuneration, time commitment, authority, confidentiality, conflicts of interest, compliance with policies and termination arrangements are as set out in that Agreement, the Companies Act 2006 and the Company's Articles.

Main duties of the job The role is structured to ensure meaningful involvement in BrisDoc's governance and development, providing a combination of formal Board duties and informed organisational engagement. The Non-Executive Director (Technology / Transformation) is expected to maintain a visible and informed role across BrisDoc, supporting strong oversight and constructive challenge in relation to both technology and transformation.

This is a Non-Executive oversight role and does not include day-to-day operational management, executive leadership or delivery responsibility.

Supporting activities include:

Attendance at a half-day quarterly Board meeting

Engagement with, and potential chairing of, at least one quarterly subcommittee focused on digital, transformation, performance, audit or risk, in accordance with relevant committee Terms of Reference

Participation in a planned programme of site visits across BrisDoc services

Involvement in interview panels and assurance-related activities where appropriate

Provision of support and informal mentorship to Executive Directors and senior leaders

General availability, reflecting BrisDoc's governance rhythm

About us BrisDoc is a clinician-led, employee-owned social enterprise delivering award winning NHS urgent and primary care across Bristol, North Somerset and South Gloucestershire (BNSSG). We're recruiting an Executive Medical Director to join our Board and lead what matters most: patient safety, quality of care, clinical governance and professional clinical standards.

This is a pivotal Executive Director role with clear Board-level influence. You'll align clinical strategy with BrisDoc's organisational goals, helping to shape priorities around renewal of core contracts, service growth into new geographical areas, and the safe adoption of new technologies and digitisation. You'll also identify and act on opportunities arising from the NHS 10-year plan, including neighbourhood and community developments.

BrisDoc is an exciting place to lead clinically because our services are diverse and fast-moving. From integrated urgent care to in-hours general practice and specialist services such as Homeless Health, you'll have a genuine line of sight between governance decisions and what happens for patients and clinicians every day.

You'll work closely with the Chief Executive, Executive colleagues and Non-Executive Directors, and you'll represent BrisDoc as a credible senior clinical voice across system partnerships. You'll also keep a proportion of clinical sessions/shifts to stay close to care, maintain insight, and lead with credibility.

Job responsibilities Governance & Strategy

This aspect of the role focuses on supporting the Boards strategic oversight and assurance in relation to technology, data and organisational transformation through independent challenge and informed judgement.

Key responsibilities include:

Contributing to the development and review of organisational strategy from a technology and transformation perspective

Providing independent challenge to support robust governance, prioritisation and accountable leadership

Providing assurance to the Board on compliance with statutory, regulatory and contractual obligations relating to digital services, information governance and transformation activity

Supporting collective Board responsibility for maintaining high standards of probity, accountability and transparency

Discharging statutory duties as a company director under the Companies Act 2006 and upholding BrisDocs Articles and Board policies

Declaring and managing actual or potential conflicts of interest in accordance with the Articles and Board policy

The post holder brings specialist understanding of technology, data and information governance, providing independent assurance on the resilience, security and fitness for purpose of BrisDocs digital and information landscape.

Supporting responsibilities include:

Reviewing assurance on the performance, resilience and security of data, digital and technology services

Assessing the adequacy and clarity of information provided to the Board on digital performance, cyber risk and information governance

Providing independent assurance on the effectiveness of information governance, data protection and cyber security arrangements

Supporting Board oversight of significant technology investments, system changes and technology-enabled risk

Maintaining awareness of emerging technology, data and cyber risks relevant to regulated healthcare environments

Transformation & Change Assurance

This aspect of the role focuses on assurance that BrisDocs transformation and change activity is well-governed, prioritised and realistically deliverable.

Responsibilities include:

Reviewing assurance on the governance, prioritisation and delivery of major transformation and change programmes

Providing constructive challenge on the robustness of business cases, benefits realisation and delivery risk

Supporting assurance that change activity is evidence-led, measurable and aligned with organisational strategy and values

Encouraging approaches that strengthen organisational capability, sustainability and value for money

Board Contribution

Non-Executive Directors collectively support effective Board performance by providing independent perspective, constructive challenge and support to executives. The post holder contributes fully to maintaining a strong leadership and accountability culture.

Supporting responsibilities include:

Monitoring organisational performance against agreed strategic objectives

Providing reflective support and balanced challenge to Executive Directors

Participating in appraisal and remuneration processes for Executive Directors

Supporting effective Board dynamics, culture and development

Helping ensure the Board maintains a focus on quality, performance, risk and sustainability

Complying with applicable organisational policies and codes (including Code of Conduct, Whistleblowing and Data Protection) as they apply to directors

Maintaining confidentiality of information obtained in the course of duties, except where disclosure is lawful and appropriate

External Engagement

The role contributes to BrisDocs presence and relationships across the local and regional system, particularly in relation to digital collaboration and system-level transformation.

Person Specification Professional Qualifications and Experience
  • Senior-level experience in technology, digital, data and/or organisational transformation within a complex or regulated organisation
  • Experience providing assurance on technology risk, transformation delivery or information governance at senior or Board level
  • Ability to interpret complex technical and transformation information and translate it into clear, balanced assurance
  • Experience contributing to strategic decision-making in relation to technology-enabled change
  • Experience within healthcare, public services or other regulated sectors
  • Understanding of NHS or NHS-adjacent digital, data or transformation contexts
Leadership and Governance
  • Experience of operating at Board level or equivalent senior leadership role
  • Understanding of corporate governance and regulatory responsibilities
  • Ability to contribute credibly and independently to strategic decisions in complex environments
Strategic Thinking and Analytical Skills
