Company Secretary Lawyer Corporate Governance

We're seeking someone to join our team as a dynamic company secretary or lawyer and be part of the company secretarial team of a leading global financial services firm to provide all round company secretarial support.
The EMEA company secretarial team provides support to a large portfolio of entities, largely in the UK but also across EMEA.
This is a Vice President role reporting directly to the EMEA Head of Company Secretarial, an Executive Director based in London.
What you'll do:- Act as Company Secretary for a portfolio of regulated and unregulated entities and board committees, providing full cosec support and serving as Company Secretary to PRA and FCA regulated Board/Board Committees.
- Primary point of contact for Chair and non executive directors; prepare annual agenda plans, quarterly agendas, board packs, and governance related papers.
- Advise directors on company secretarial matters and corporate governance best practice, including director inductions, duties and conflicts training.
- Minute meetings to UK listed company standards, support board effectiveness reviews and skill assessments, draft governance reports for annual report and accounts, and oversee regulatory compliance filings.
- Advise on corporate liquidation/dissolutions and on the cosec aspects of legal entity restructurings and refinancing.
- Oversee the cosec team in Mumbai in managing a portfolio of unregulated UK entities and general company secretarial tasks.
- Work on ad hoc strategic governance projects, e.g., MI enhancement projects, governance reviews, board succession planning and appointments, and governance training such as minute training.
- Qualified lawyer or company secretary with at least 10 years' experience in a similar high performance environment.
- Excellent team player with proven experience working with senior stakeholders, including C suite and independent non executive directors.
- Self starter and problem solver capable of working independently.
- Ability to use Blueprint and familiarity with Boardvantage helpful.
- Some travel to London expected, e.g., to cover quarterly meetings in person.
