Job Description
Assistant Company Secretary

You will be part of the UK Corporate Governance Office providing governance support to board committees and subsidiary boards. The role involves designing and implementing directives for senior management, ensuring regulatory compliance, maintaining governance procedures, and providing specialist advice on statutory and legislative developments.

Responsibilities
  • Run a board level committee and subsidiary board meetings, including preparation, minute taking and action distribution.
  • Maintain your portfolio of subsidiary legal entities and oversee compliance with the Subsidiary Governance Framework.
  • Contribute to the annual report and financial statements programme.
  • Provide specialist advice on statutory compliance and governance best practice, internal governance requirements and new business and legislative developments/projects.
  • Build strong relationships with senior management and board members.
  • Act as line manager to member(s) of the Corporate Governance Office Team, identifying and facilitating development opportunities.
Qualifications
  • Required: Practical knowledge of corporate governance, Companies Act 2006, UK Corporate Governance Code, PRA/FCA governance requirements, listing rules and excellent stakeholder management and diplomacy skills.
  • Experience running a board level committee.
  • Experience working in a corporate governance or secretariat function.
  • Experience in a regulated environment, preferably financial services.
  • Experience contributing to the annual report and financial statements programme.
  • Membership of the Chartered Governance Institute (Associate/Associate/Fellow) or equivalent.
  • English language proficiency.
  • Excellent attention to detail and written communication, strong minute writing.
  • Well developed organisational skills, ability to manage competing priorities, work efficiently under tight deadlines.
  • Positive attitude, ability to work well in a team, interact effectively at all organisational levels.
  • Line management experience (preferred).
  • Ability to mentor and develop junior team members.
  • Right to work in the United Kingdom.

  • Salary range £76,000 - £114,000 per annum (based on experience).
