JPMorgan Private Markets - Special Situations Lawyer - ED
Global Special Situations ("GSS") is a stand alone business within the Private Markets division of JPMorgan Asset Management, focusing on private credit investing and fundraising across North America and EMEA. GSS offers strategies through fund structures, SMAs and specialist vehicles and is headquartered in London and New York.
OpportunityThe role is for an Executive Director lawyer in London to lead EMEA Special Situations / Private Credit deal legal work, including sourcing, due diligence, structuring, negotiation, execution and post deal management. The candidate may also lead fund formation and investment vehicle work and support other legal matters across the GSS business.
Key Responsibilities- Lead EMEA Special Situations / Private Credit deal legal work throughout the deal lifecycle.
- Take the lead on fund formation and investment vehicle work, including ancillary client DD, negotiations and side letters.
- Support legal matters such as fund financing, ISDA/TRS, service provider contracts and regulatory matters.
- Provide legal analysis in collaboration with the investment team, COO and Head of Operations.
- Negotiate and draft confidentiality agreements, term sheets and final deal documentation.
- Advise on alternative investment offerings for institutional and HNW clients.
- Manage outside counsel on private fund documents and side letters.
- Lead legal calls with clients and counsel on due diligence and side letter negotiations.
- Conduct legal and regulatory research across jurisdictions.
- Coordinate with internal legal, compliance, conflicts, product and tax departments.
- Identify process improvements, automation and playbook enhancements.
- Extensive special situations legal experience is mandatory.
- Strong knowledge of trade documentation and credit documentation drafting and negotiation.
- Experience with financing, credit and equity instruments, including issuances, secondary transactions and securitizations.
- Self starter capable of working independently within a fast moving investment team.
- Excellent communication, collaboration and stakeholder management skills.
- Strong legal analysis and ability to navigate complex environments.
- English required; European languages advantageous but not required.
- Energy and motivation to drive the business forward.

- Proactive, fit for purpose approach to legal work.
