Position summaryWe are seeking a highly experienced professional with a proven track record of excellence in company secretarial roles.
In this role, you will report to the Head of Secretariat.
Job Responsibilities- Fulfilling the legal duties of a company secretary for a portfolio of Investment Trusts.
- Providing comprehensive legal and governance support and guidance to the board of directors.
- Assisting in the implementation of corporate strategies by ensuring that the board's decisions and instructions are properly carried out and communicated effectively.
- Ensuring compliance with all relevant statutory and regulatory requirements.
- Communicating with shareholders as appropriate.
- Acting as the appointed representative of JPMorgan concerning duties outlined in the investment management agreement.
- Coaching and training junior team members, fostering their professional development and enhancing their skills in company secretarial practices.
- Managing projects related to Annual and Half-Year Reports for internal and external stakeholders.
- Client focus: A client-centric mindset with a commitment to integrity, fairness, and responsibility.
- Experience: Senior experience in a Company Secretarial role, preferably within asset management.
- Technical knowledge: Sound company secretarial knowledge including minute-taking, liaising with directors at a high level, and familiarity with MAR, Companies Act, and UK Listing Rules.
- Relationship management: Ability to develop partnerships with key business units including financial reporting, product development, operations, investment desks, compliance, risk, tax, and legal counsel.
- Project management: Proven experience managing multiple projects within a large, complex, cross-functional environment.
- Communication skills: Excellent written and verbal communication skills, with the ability to articulate complex ideas clearly. Self-motivated and a strong team player with ownership and continuous improvement mindset.
- Document management: Attention to detail and organizational skills to manage large agendas efficiently.
- Qualifications: Fully Qualified Chartered Secretary with Associate or Fellow Membership of the Chartered Governance Institute UK.
